Terms of Service — Nomoaxis

These Terms of Service ("Terms") are an agreement between you and New Axis Solutions P.C. ("New Axis Solutions", "we", "us"), a company incorporated in the Hellenic Republic, with registered seat at [Registered seat: to be completed on incorporation], ΓΕΜΗ no. [ΓΕΜΗ: to be completed on incorporation], ΑΦΜ [ΑΦΜ: to be completed on incorporation]. They govern your access to and use of Nomoaxis, the legal practice management platform we operate. By creating an account or using the service you agree to these Terms. If you do not agree, do not use Nomoaxis.

1. Your account

You must be at least 18 years old and legally able to enter into a binding contract. You are responsible for activity under your account and for keeping your credentials and recovery phrase secure. Notify us immediately of any unauthorised use.

2. Acceptable use

Do not upload unlawful content or content you do not have rights to.
Do not attempt to access other accounts, reverse engineer the service, or disrupt operations.
Comply with the laws and professional conduct rules that apply to your practice.
Do not use Nomoaxis to send unsolicited communications or spam.

3. Your data and ownership

You retain ownership of all data you put into Nomoaxis. You grant us a limited licence to host, process, and display that data solely to provide the service and as described in the Privacy Policy and DPA.

4. Subscriptions, billing, and trial

Plans include a 14-day free trial, offered once per customer: if you have already used a trial, a new subscription starts as a paid subscription immediately. Card details are collected by Stripe at checkout, when you subscribe — not when you create your account — and are stored for the first charge and subsequent renewals. Stripe may run a card verification at that point; no subscription charge is made until the trial ends.
Subscriptions renew automatically each month or year in EUR until cancelled. Prices are exclusive of VAT/sales tax, which Stripe calculates at checkout based on your billing address.
Plan and seat upgrades take effect immediately and are prorated. Downgrades take effect at the end of the current billing period.
Seats are purchased for the billing period, not per active user. Removing a member frees the seat for someone else but does not reduce the charge for the period already paid for. Lowering the seat count takes effect for the next billing period; consistent with §5, no refund or credit is issued for seats left unoccupied during a period.
Payment is processed by Stripe. We never see your full card number.

5. Cancellation and refunds

You may cancel at any time from Settings → Billing; you keep access until the end of the paid period. We do not offer refunds for partial periods, save for the single exception in §7 (rejection of a material change). EU/EEA consumers retain any statutory rights of withdrawal where applicable.

6. Service availability

The service is provided on a commercially reasonable best-effort basis. We work to keep it available but do not guarantee uninterrupted access. Scheduled maintenance will be announced where practicable.

7. Changes to the service or Terms

We may change these Terms by giving you at least 30 days' prior notice by email and/or in-app for material changes. Continued use after the effective date constitutes acceptance. If you do not accept a material change you may cancel before it takes effect. In that case only — as a narrow exception to the no-partial-period rule in §5 — we refund the unused prepaid part of your current period on a pro rata basis.

8. Termination

You may delete your account at any time from Settings → Data & privacy.
We may suspend or terminate your access for material breach of these Terms, non-payment that remains uncured for 14 days, or if continued provision would expose us to legal liability.
On termination we delete personal data per the Privacy Policy retention schedule.

9. Disclaimers

Nomoaxis is a productivity tool. We do not provide legal advice and we are not a law firm. The service is provided "AS IS" and "AS AVAILABLE" to the maximum extent permitted by law, without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

10. Artificial intelligence features

10.1 Nature of AI-generated content

Nomoaxis includes AI-powered features ("Nomoaxis AI") that generate automated suggestions, summaries, document drafts, and recommended actions based on data entered by the user. Nomoaxis AI is an artificial intelligence system powered by Claude, developed by Anthropic PBC.

All output produced by Nomoaxis AI constitutes automated suggestions only. It does not constitute legal advice, legal opinion, or a substitute for the professional judgment of a qualified attorney. Users are solely responsible for verifying, reviewing, and approving any AI-generated content before acting upon it or using it in any legal context.

The underlying AI model powering Nomoaxis AI may be updated, replaced, or deprecated by Anthropic PBC at any time. New Axis Solutions will endeavour to provide reasonable advance notice of material changes to the AI model where practicable, but cannot guarantee the consistency of AI-generated output across model versions. Continued use of Nomoaxis AI features following a model update constitutes acceptance of the updated system.

10.2 Human oversight

Nomoaxis AI is designed with mandatory human oversight for actions on your records. No tool that creates, alters, or deletes a matter, client, task, time, fee, or document record — including creating deadlines, updating matter status, adding notes or comments, logging time, recording payments, expenses or bar receipts, assigning team members, and setting matter phases — is executed automatically. Each such action is proposed to you and is carried out only after you confirm it explicitly.

Two categories of tool run without a separate prompt, and you should know this. First, read-only tools: the assistant lists, searches, and reads in full the documents of the matter you have open, within your own access rights, and it computes dates. These do not alter any record, but they do cause document text to be transmitted for processing (see §10.5). Second, one write: when you state in the conversation how you count working days for a matter (whether weekends and public holidays are excluded and whether the first day counts), the assistant records that stated rule against the matter without asking you again. It writes nothing else: no client data, no matter record, no document, and it deletes nothing. You can view and change the stored rule for the matter at any time.

On that basis — human confirmation for every record-changing action, and disclosure of the automatic reads and of the single rule-recording write — Nomoaxis AI is operated with the human oversight contemplated by Regulation (EU) 2024/1689 (EU AI Act).

10.3 Transparency

In accordance with Article 52 of Regulation (EU) 2024/1689 (EU AI Act), we disclose that:

(a) Nomoaxis AI is an artificial intelligence system. Users are always interacting with an automated system, not a human.
(b) Documents, correspondence, and notes drafted by Nomoaxis AI are AI-generated. They must be reviewed and approved by a qualified attorney before use in any legal proceeding or communication.
(c) Unless the Web Search feature is active (see §11), Nomoaxis AI does not access external legal databases, court records, or real-time legal information: the material it reasons from is the data held in the Nomoaxis platform. This is a statement about the source of that material, not about where processing happens — the content selected is transmitted to Anthropic PBC for processing, including page images of scanned documents for transcription (see §10.5). That source is also not limited to what you attach to a question: within the matter you have open, and within your own access rights, the assistant decides for itself which documents in that matter to list, search and read in full, and transmits the excerpts it selects. See Privacy Policy §3a.3.

10.4 Limitations and prohibited uses

Nomoaxis AI:

(a) Does not provide legal advice or interpret applicable law.
(b) Does not have knowledge of jurisdiction-specific procedural rules unless explicitly provided by the user.
(c) May produce inaccurate, incomplete, or outdated suggestions.
(d) Is not a substitute for professional legal judgment.
(e) Should not be relied upon as the sole basis for any legal decision or action.
(f) Use of Nomoaxis AI is subject to Anthropic PBC's Acceptable Use Policy (available at https://www.anthropic.com/legal/aup), as updated from time to time. By using Nomoaxis AI features, you agree to comply with Anthropic's Acceptable Use Policy in addition to these Terms. New Axis Solutions reserves the right to suspend or terminate access to AI features immediately where a user's conduct would constitute a violation of Anthropic's Acceptable Use Policy.
(g) Users may not submit inputs to Nomoaxis AI that are designed or intended to: (i) manipulate, override, or circumvent the AI system's intended functionality or safety constraints; (ii) extract information about other users or matters; (iii) cause the AI system to produce output that violates these Terms or applicable law; or (iv) interfere with the integrity or security of the Nomoaxis platform. This prohibition includes, without limitation, prompt injection attacks, jailbreaking techniques, and the submission of documents containing embedded adversarial instructions.

10.5 Data processing for AI features

When you use Nomoaxis AI features, your prompt, matter and client context, and the plaintext of document excerpts — including documents the assistant retrieves without asking you — are processed in-flight by Anthropic PBC's infrastructure solely to generate a response. Where a document is a scanned image, page images are sent to Anthropic for optical transcription. New Axis Solutions does not retain the prompt or the document text; conversation history is stored encrypted in your workspace and is archived, not deleted, when you start a new conversation. For full details on Anthropic's log retention, autonomous retrieval, web search, and transfer safeguards, see our Privacy Policy §3a and DPA §5.

10.6 AI usage limits

AI features are subject to a monthly AI budget expressed in US dollars of model cost, not in tokens. Each seat on your plan contributes a per-seat budget amount, and those amounts are pooled at workspace level: members draw from the shared pool rather than from an individual allowance. To prevent one member from exhausting the firm's pool, each member is additionally subject to a personal ceiling equal to the lower of twice the per-seat budget and half of the workspace pool. The pool resets monthly and unused budget does not carry forward. When the pool is exhausted, AI features are paused until the reset or until the workspace owner raises the budget from Settings → Billing. Plan descriptions express this allowance as an approximate number of document questions per seat per month; that figure is an estimate derived from average model cost, not a guaranteed quantity.

10.7 No warranty for AI output

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NOMOAXIS PROVIDES AI-GENERATED CONTENT "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF ACCURACY, COMPLETENESS, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. NOMOAXIS SHALL NOT BE LIABLE FOR ANY DAMAGES ARISING FROM RELIANCE ON AI-GENERATED CONTENT WITHOUT INDEPENDENT VERIFICATION BY A QUALIFIED LEGAL PROFESSIONAL.

10.8 AI feature availability

Nomoaxis AI features are dependent on the availability of Anthropic PBC's API infrastructure. New Axis Solutions does not control Anthropic's systems and cannot guarantee the continuous or uninterrupted availability of AI features. Periods of unavailability attributable to Anthropic's infrastructure, maintenance, model deprecation, or applicable rate limits shall not constitute a breach of these Terms or entitle the user to any refund or service credit, except where such unavailability materially and persistently impairs the core functionality of the subscribed plan. New Axis Solutions will endeavour to provide notice of anticipated AI feature downtime where Anthropic provides such notice to New Axis Solutions in advance.

10.9 Support chat

The Nomoaxis support chat is powered by a Google Gemini model via Lovable Cloud's AI Gateway. When you use the support chat, your messages and technical metadata (current URL, user-agent, locale, app version, pseudonymous workspace identifier, and user role) are sent to Lovable's AI Gateway and Google's infrastructure to generate a response. No matter data, client names, documents, or encrypted workspace content is transmitted. Google processes this data under its Paid Services Data Processing Terms and does not use it to improve its products. Support chat responses are assistive only and do not constitute legal advice.

11. AI Legal Research via Web Search

11.1 Feature Description

The Nomoaxis AI Assistant includes a web search capability ("Web Search") for legal research. The assistant decides for itself whether to use it; you do not switch it on. It is available on essentially every request, and the system is instructed to prefer it when your query relates to case law, legislation, official gazettes, or recent legal developments. Where your question reads as answerable from your own file alone, or as a pure date calculation, the assistant is instructed not to search unless the documents themselves turn out to depend on an external authority. That instruction is a steer, not a hard block: a search may still occur on such a question, and conversely no search is guaranteed on any question.

11.2 How It Works

When Web Search is active:

The model composes the search query itself, from a conversation that includes your prompt and the matter context summary. A limited number of searches may run per request.
The query may therefore contain details drawn from your matter, including party names, matter references, and other identifying detail. Do not treat Web Search as a channel free of client-identifying content; if that is unacceptable for a given matter, do not use the assistant for research on it.
The search runs server-side at Anthropic PBC using Brave Software Inc. as Anthropic's search provider (see DPA). New Axis Solutions records only the number of searches performed, and stores neither the queries nor the results.
Results appear with citations linking to their sources.

11.3 User Obligations

Verify results against authoritative legal sources before use in court filings or legal documents.
This feature does not replace research in official legal databases (e.g. NOMOS, Westlaw, EUR-Lex).

11.4 Disclaimer

Web search results are for informational purposes only and do not constitute legal advice.
Results may not reflect the most recent legislative changes.
You remain solely responsible for verifying and applying any retrieved information, consistent with your professional judgment as a legal practitioner.

12. Limitation of liability

To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, or exemplary damages, or for loss of profits, revenue, goodwill, or data. Our aggregate liability arising out of or relating to these Terms or the service is limited to the fees you paid to New Axis Solutions in the twelve (12) months immediately preceding the event giving rise to the claim. Nothing in these Terms limits liability for fraud, gross negligence, willful misconduct, death or personal injury caused by negligence, or any other liability that cannot be limited under applicable law.

13. Indemnification

You agree to defend, indemnify, and hold harmless New Axis Solutions, its affiliates, and their officers, employees, and agents from and against any third-party claims, damages, and reasonable legal fees arising out of (a) content or data you upload, (b) your use of the service in violation of these Terms or applicable law, or (c) breach of your professional or fiduciary obligations to your own clients.

14. Governing law and dispute resolution

These Terms are governed by the laws of the Hellenic Republic, without regard to its conflict-of-laws rules. The courts of Athens, Greece have exclusive jurisdiction over any dispute, claim, or controversy arising out of or in connection with these Terms, except that either party may seek injunctive relief in any competent court to protect its intellectual property rights. Consumers retain the protection of mandatory provisions of their country of habitual residence.

15. Miscellaneous

These Terms, the Privacy Policy, and the DPA constitute the entire agreement between you and New Axis Solutions. If any provision is held unenforceable, the remainder remains in effect. Our failure to enforce a right is not a waiver of it. You may not assign these Terms without our consent; we may assign them as part of a merger, acquisition, or sale of substantially all assets.
